GENERAL TERMS AND CONDITIONS OF SUBSCRIPTION AND OF USE

Alwan Color Expertise, a simplified joint stock company (société par actions simplifiée) registered in the Lyon Trade and Companies Register under number 414 558 635, with its registered office at 5 allée Alban Vistel, 69110 Sainte-Foy-Les-Lyon, is a company specialising in the research, development, promotion, sale, training and installation of graphics and software.
The purpose of these General Terms and Conditions of Subscription and Use (GTCSU) is to define the rights and obligations of the Parties in the context of the provision of access to its SaaS software (hereinafter the "Software(s)") by Alwan Color Expertise to its professional customers (hereinafter referred to as the "Customer" or the "User" or together with Alwan Color Expertise, the "Parties").
By entering into a contract with Alwan Color Expertise, the Customer expressly accepts, in their entirety and without reservation, the present GTCSU, which the Customer declares to have understood. In accordance with article L 441-1 of the French Commercial Code, these GTCSU constitute the sole basis of the commercial relationship between the Parties, as well as the Customer's recognition of his or her status as a professional, who declares that he is contracting for the needs of his or her professional activity.
Consequently, the Customer acknowledges and accepts that the provisions of the French Consumer Code are not applicable to acts carried out under these GTCSU.
Any contrary or special conditions invoked by the Customer will be unenforceable against Alwan Color Expertise, except with the express written agreement of the latter and after balanced negotiation between the Parties.
In all cases and in the event of contradiction, the provisions of these General Terms and Conditions shall prevail.
Alwan Color Expertise may be required to modify certain provisions of these GTCSU, the new version of which will be accessible from the Customer's personal account, it being specified that the new version of the subscription conditions will be applicable to all new subscriptions (previous subscriptions being subject to the version of the GTCSU applicable on the day they were concluded) and the new version of the conditions of use will be immediately applicable.

1. Services

Alwan Color Expertise publishes SaaS software, defined as software applications that generally use User’s data to perform a specific task and deliver a result online.
Alwan Color Expertise offers, by means of remote access to its Software, a colorimetry management service for the printing industry (hereinafter the "Service" or the "Solution").
All the features of the Service are presented on the Alwan Color Expertise website accessible at https://alwancolor.com/ (hereinafter referred to as the "Site") and are accompanied by a user guide (hereinafter referred to as the "Documentation"), which can only be accessed once the subscription provided for in article 4 of these GTCSU has been taken out.
Each Service or Solution may correspond to one or more functionalities (hereinafter "Functionality(ies)"), according to their respective descriptions on the Site.
To access the Service, the User must have a personal account created when subscribing.

2. Subscription order

2.1. Access to the Alwan Color Expertise Service is subject to the purchase of a subscription (hereinafter referred to as "Subscription") for a duration of one month or one year, at the choice of the User, indefinitely renewable by tacit agreement at the end of each period, for an identical duration, unless each Party has informed the other of its intention to terminate it under the conditions set out in article 10 of these GTCSU and subject to payment of the price.
Each Subscription offer only gives access to the Service functionalities presented for each of them. It is therefore the Customer's responsibility to ensure that the Service functionalities contained in the chosen package meet their needs and their skills in the use of software. Alwan Color Expertise cannot be held responsible for any mismatch between the Customer's needs and the Service subscribed to, or for any inability on the part of the Customer to use the functionalities of the Solution.
One (1) Subscription grants the right to one (1) personal access to the Service and other computer information such as related documents and explanatory files and all modified versions and copies of such information, upgrades and updates.
2.2. All Subscription Orders are firm and definitive only after confirmation by the Customer of their basket (which summarises all the Subscriptions placed in the basket and the total price of the Order, plus taxes) and effective payment of the price in accordance with the terms and conditions set out in article 4 of these GTCSU.

3. Access conditions

In order to be able to access the Service, and subject to taking out a subscription with Alwan Color Expertise, the User must first create a personal account (hereinafter referred to as the "Personal Account") by entering his identity (company name and identifier of the person authorised to access the Service, telephone number, postal address and e-mail address), the creation of this account being conditional upon prior acceptance of these GTCSU.
If the User does not accept the GTCSU, he will not be able to create an account or access his account and the associated Services.
This account is defined as a digital interface accessible from the Site using a strictly personal identifier and password, which must be kept secret by the Customer under his responsibility.
In the event of loss or theft of the Customer's login details or password, or in the event of unauthorised use of the Customer's Personal Account, it is the Customer's responsibility to contact Alwan Color Expertise immediately so that new login details or password can be issued.
If Alwan Color Expertise reasonably suspects that unauthorised persons are using or may use the User's account, it will be entitled to immediately suspend the User's account and any attached services, or to permanently close the account and terminate the attached Subscription(s), without prejudice to any damages that may be claimed by the other Party, under the conditions set out in article 10 of these GTCSU.
By validating the creation of his Personal Account, the Customer :

  • Acknowledges having been able to check and amend, if necessary, the information contained therein;
  • Guarantees to have provided accurate, up-to-date and complete information concerning his identity and contact details and undertakes to update all such information regularly;
  • Acknowledges that this Account is strictly personal.
    As soon as the Customer has validated the creation of their Personal Account, Alwan Color Expertise will send them a confirmation e-mail containing an activation link.

4. Financial conditions

4.1. Prices
4.1.1. The prices of the Subscriptions are those in force on the day of validation of the subscription (hereinafter referred to as the "Order") - expressed in Euros (excluding tax).
The value of the Subscriptions in euros is clearly indicated to the Customer on the Site and is that applicable on the day of the Order.
4.1.2. The prices of Subscriptions and Services are set in the light of existing economic conditions (in particular economic and social impacts, etc.) on the day the Order is validated, so that Alwan Color Expertise reserves the right to revise prices at any time; these new prices being applicable to all new Orders.
4.1.3 It is reminded that any Order validated and paid for by the Customer is firm and definitive, so that the Customer - who has declared that he is not a consumer - will not be entitled to any reimbursement, except with the express and discretionary agreement of Alwan Color Expertise.

4.2. Financial terms and conditions
4.2.1. Alwan Color Expertise invoices are issued on a monthly or annual basis (depending on the choice made by the Customer when validating the Order) and in accordance with the provisions of article L. 441-9 et seq. of the French Commercial Code, denominated in Euros, plus all applicable taxes.
The price is payable without discount at the time of validation of the Order or at the time of each tacit renewal, by credit card or bank transfer and gives rise to the issue of an invoice sent by e-mail to the Customer.
The exchange of any currency into euros will automatically be carried out by Alwan Color Expertise's bank according to the exchange rate in force at the time of the Order.
No payment may be offset at the Customer's sole initiative.
Payments made by the Customer will only be considered definitive once the sums due to Alwan Color Expertise have been effectively cashed.
4.2.2. All Sales Orders accepted by Alwan Color Expertise are executed taking into consideration the Client's legal, economic and financial situation, and notably, the Client's recognised solvency.
If Alwan Color Expertise has reason to fear payment difficulties on the part of the Customer on the date of the Order (in particular due to the history of the relationship) or subsequent thereto, Alwan Color Expertise may make acceptance of the Order or its continued performance (in particular as regards access to the Solution) conditional upon cash payment prior to delivery and/or the provision by the Customer of a guarantee in favour of Alwan Color Expertise.
In the event of refusal by the Customer, Alwan Color Expertise may refuse to honour the Order or the renewal of the Subscription, without the Customer being able to plead an unjustified refusal to sell or claim compensation.
4.2.3 It is expressly agreed that failure to pay any invoice by the agreed payment date will automatically entail the following consequences, without prejudice to any other action that Alwan Color Expertise may be entitled to take against the Customer in this respect:

  • All other invoices become immediately due and payable for the entire remaining term of the Subscription, even if they have given rise to the creation of commercial paper,
  • Late payment penalties: in the form of late payment interest calculated pro rata temporis, from the date on which the price is due, by applying, to the total sums owed by the Customer, an interest rate equal to three times the legal interest rate in force on the date of the Order,
  • Immediate payment of a fixed indemnity of 40 euros to compensate for collection costs. However, in the event that the costs of recovering an unpaid debt (procedural costs, lawyers' fees, bailiff's fees, etc.) exceed the amount of this fixed indemnity of 40 euros, Alwan Color Expertise reserves the right to request additional compensation upon justification,
  • The payment, as a penalty clause, of compensation equal to 15% of the sums remaining due by the Customer on the date on which the non-payment is established, with a minimum of 200 euros,
  • The right for Alwan Color Expertise to suspend or cancel without compensation the Subscription(s) (and therefore access to the Solution) in progress,
  • The cancellation of any Orders or Subscriptions issued by companies directly or indirectly linked to the Customer.

5. Delivery and receipt

Delivery means access by the Customer to the Service offered by Alwan Color Expertise as part of the Subscription taken out.
The Services will be accessible immediately after confirmation of the Order by Alwan Color Expertise, by the Customer from his Personal Account, subject to payment of the price, this immediate nature not constituting a firm deadline, Alwan Color Expertise nevertheless undertaking to use its best endeavours to achieve this.
On receipt of the Delivery, it is the Customer's responsibility to report any non-conformities within 48 (fortyeight) hours, in accordance with the conditions set out in article 7 of these GTCSU.
If the Customer encounters any difficulties in using the software, they may contact Alwan Color Expertise's support team.

6. Conditions of use

6.1. General Conditions of use
The User undertakes to use the Service "with due care" and in strict compliance with the intended use of the Service, in accordance with the Documentation attached.
Alwan Color Expertise cannot guarantee that User Content will be backed up, so the Customer must ensure that User Content is backed up locally on their terminal.
All User Content must not be or present information that is abusive, harassing, threatening, defamatory, obscene, fraudulent, deceptive, offensive, pornographic or, more generally, illegal or illicit or that may infringe or violate intellectual property rights.
The opinions expressed in the User Content belong solely to the User and cannot be considered as those of Alwan Color Expertise.
Alwan Color Expertise does not have access to User Content and cannot therefore be considered as a moderator and cannot under any circumstances be held responsible for User Content.
In order to maintain a Solution appropriate to its objectives and to cooperate where necessary with third parties who hold intellectual property rights or who are victims of an infringement of any of their rights, Alwan Color Expertise may suspend the User's Personal Account, at least temporarily, as soon as it is made aware of facts that may be qualified as illicit or illegal, in accordance with article 10 of these GTCSU.
The Customer is solely responsible for the use of his Personal Account and more generally of the Solution and remains solely responsible for any damage caused to others and any infringement of the rights of third parties that he generates by his use.
6.2. Technical conditions of use
Access to the Service is technically conditional on Internet access by means of a suitable computer terminal and an operating system supporting digital or similar information with a view to manipulation for the purpose of obtaining a specific result on the basis of a sequence of instructions.
Access to the Service is exclusively via the Site and no copy of the Software or Service offered may be made by the User or by a third party directly or indirectly associated with the User.
6.3. Assistance and Support
Alwan Color Expertise will provide assistance to Users of the Solution when requested.
Users may request this assistance at any time by writing to the following e-mail address: support@alwancolor.com or via their Personal Accounts.
In particular, they may contact Alwan Color Expertise for specific requests, such as, but not limited to, adding or modifying standard printing conditions, curve formats and any other request related to the functionalities and/or Services provided by Alwan Color Expertise.
Alwan Color Expertise will endeavour to answer these questions adequately and within a reasonable time.
Nothing in the present article may be interpreted as an obligation for Alwan Color Expertise to honour the request(s) submitted by the User.
6.4. Maintenance
In order to maintain a high-performance Service that is compatible with technological developments, Alwan Color Expertise reserves the right to carry out acts of maintenance that may temporarily affect the User's access to the Services and that may have consequences in terms of the compatibility of the User's terminal with the Functionalities of the Solution, in terms of saving User Content or that may affect the User's work in progress.
Alwan Color Expertise will endeavour to inform the User of planned maintenance to enable the User to take the necessary measures to save the User Content locally on his terminal and to anticipate temporary inaccessibility to the Service.

7. Guarantee et compliance

7.1. Alwan Color Expertise guarantees to provide Services that comply with the descriptions and characteristics presented for each of them.
Alwan Color Expertise provides the User with the functionalities of the Solution and makes reasonable efforts to make the Services available at the gateway level between the public Internet and Alwan Color Expertise's cloud service provider network, with the exception of scheduled downtime for maintenance purposes, which Alwan Color Expertise undertakes, as far as possible, to plan and communicate to the User.
Alwan Color Expertise is not obliged to verify or control the quality or quantity of User Content, Services, output files, advice, instructions or any other information provided, offered or generated automatically by the Service and cannot under any circumstances be held liable for the User's dissatisfaction with the results obtained, or for any damage resulting from the fact that information and/or User Content is deleted or proves to be incorrect, incomplete or illicit.
Alwan Color Expertise guarantees that the Solution will have an uptime of at least 99.5% per month, excluding any unavailability resulting from inappropriate behaviour attributable to the User.
The aforementioned uptime and downtime targets and any other performance targets mentioned herein or on the Site shall not apply to the extent that performance or availability problems result from downtime planned by Alwan Color Expertise in accordance with the preceding paragraphs of this section or are directly or indirectly due to factors beyond Alwan Color Expertise's reasonable control, including, but not limited to, performance or availability problems that are:

  • Caused by a fault or failure of the Internet or any public telecommunications network;
  • Caused by a defect or failure or availability problems of the cloud service provider;
  • Caused by the User's hardware or software ;
  • Caused by the User's actions or inactions;
  • Caused by the (mis)use by the User of the services and/or functionalities of the website; and/or
  • Attributable to the acts or omissions of the User or any person having access to the services and/or functionalities of the website by means of the User's accounts, passwords or equipment.

Alwan Color Expertise reserves the right to modify and/or alter certain functionalities of the Website, which may or may not have an effect on certain functionalities of the Services.
7.2. In any event, the warranty for a conforming good can only apply if the Service has been subject to normal use, under normal conditions, in particular with regard to the conditions of use set out above, so that this warranty cannot be acquired in the event of deterioration or defect caused by causes unrelated to the intrinsic qualities of the Solution (such as connection problems on the part of the Customer, malfunction due to the equipment used by the Customer, etc.).
Any alleged lack of conformity by the Customer must be notified to Alwan Color Expertise within 48 (fortyeight) hours of Receipt, which may proceed with a remote inspection of the User's terminal in order to verify the alleged defect and the compatibility between the Software and the hardware used by the User.
No guarantee other than the legal guarantee of conformity is granted by Alwan Color Expertise, so that the User remains entirely responsible for any damage that he suffers or that he creates with regard to third parties as a result of the use of the Service or of the result that derives from the use thereof.

8. Liability

8.1. Liability of Alwan Color Expertise
Alwan Color Expertise's obligations under these GTCSU are limited to best endeavours.
In this respect, Alwan Color Expertise cannot be held liable for any non-substantial variation in performance compared to the Documentation, especially as this depends on the hardware used by the User, its performance and its compatibility with the Software, so that depending on the hardware used, there may be variations between the result viewed from the Software and the result definitively obtained on another digital or paper medium.
The data obtained when using the Solution is provided as is and is made available without any guarantee of result, representation, condition, undertaking or term, express or tacit, statutory or otherwise.
To the extent permitted by law and covered by the legal warranty of conformity, Alwan Color Expertise does not warrant that the Service will be uninterrupted, slow, secure or error-free. Alwan Color Expertise undertakes to use its best efforts with regard to current available techniques to ensure the security of the Software and the use of the Service to the best of its ability. However, the User is warned of the need to use the Solution via a secure terminal. Alwan Color Expertise cannot be held responsible for the infection of the User's terminal by viruses, Trojan horses or any other element affecting the proper use of the Service.
Nor shall Alwan Color Expertise be held liable for the consequences of acts of maintenance affecting, in particular, the backup of its User Content or the compatibility of its hardware with the Service.
However, Alwan Color Expertise will endeavour to remedy any malfunctions or limitations encountered on the Website as soon as possible and to limit the inconvenience suffered by the User as much as possible.
Although it ensures a redundant system for the Site, Alwan Color Expertise is never responsible for the loss or damage of the User's data and is not obliged to make back-up copies thereof. Consequently, the User himself is responsible for recording his data on the Site, including for administrative and evidential purposes.
Alwan Color Expertise excludes all liability for assistance or support.
More generally, Alwan Color Expertise may not be held liable for any damage suffered by the Customer (or on its equipment) or by third parties and resulting from the breach of these GTCSU by the User and/or by a third party; and/or the unavailability of the Service; and/or any technical difficulty affecting the Service; and/or the inability to use all or part of the Service; and/or use by the Customer contrary to applicable laws; and/or the loss of User information; and/or any unauthorised or limited access to the Service; and/or the use of data resulting from use of the Service.
Alwan Color Expertise's liability shall in any event be limited to the amount of the Order Price and therefore excludes in particular (and without limitation) any indirect damage, personal injury, economic or financial damage or loss of turnover or any loss of opportunity whatsoever.
8.2. Liability of User/Customer
The User agrees to defend, indemnify and hold harmless Alwan Color Expertise, its affiliates, its suppliers and each of their respective employees, contractors, directors, suppliers and representatives from and against any and all liabilities, claims, fines, penalties and expenses, including reasonable attorneys' fees, arising out of or related to the User's use of or access to the Service, the User Content, the User's violation of these TOU or the violation of any third party's rights by the User or by any third party whose acts were facilitated by the User.

9. Intellectual property

9.1. Alwan Color Expertise is the owner of all rights, including intellectual property rights attached to the Software, its components and accessories (presentation, documentation, etc.) as well as the elements of its Site, whether visual or audio or technical applications, the reproduction or representation of which not expressly authorised by Alwan Color Expertise constitutes an act of counterfeiting for which the counterfeiter may be held civilly and criminally liable.
These GTCSU do not confer any rights on the User other than that of having personal access to the Solution.
Consequently, any reproduction, repetition, use or modification, by any means whatsoever, of all or part of the elements protected by intellectual property rights held by Alwan Color Expertise, including technical applications, without the prior written consent of Alwan Color Expertise, is strictly prohibited. The User is therefore not authorised to grant any right of access to the Service, to assign or transfer it to a third party, to make copies of the Software or of any element taken together or in isolation from it, or any other act of reproduction or representation infringing the rights of Alwan Color Expertise.
The fact that Alwan Color Expertise does not take immediate action against any infringement cannot be considered as tacit consent, nor as a waiver of any right to take legal action against the infringer.
9.2. In order to use the Service, the Customer will be required to upload and/or save User Content to their Personal Account.
This User Content remains the property of the Customer and Alwan Color Expertise does not have access to it and respects its strict confidentiality.
Alwan Color Expertise may only collect technical data relating to colorimetry parameters in connection with the Software's functionalities. This data is neither personal data nor data contained in the file downloaded by the User.
The User represents and warrants that he has all necessary rights to use the User Content without infringing or violating the rights of third parties, including, but not limited to, rights of privacy, copyright, contractual rights, or any other rights.
By accepting these GTCSU, the User grants permission to Alwan Color Expertise to exploit - both in terms of reproduction rights and representation rights - attached to the User's Content in order to perform the Service, which is the subject of these GTCSU, as well as for the purposes of storing data in order to improve its software and services.

10. Termination of Agreement

10.1. Either Party may terminate this Contract, without cause, by notifying the other Party of its wish to terminate the contractual relationship:

  • From their personal Account and before the Subscription renewal date, when the cancellation is made at the Customer's initiative;
  • Within two (2) months for annual Subscriptions and eight (8) days for monthly Subscriptions, by registered letter with acknowledgement of receipt.

The Parties shall continue to perform this Agreement in good faith and for the duration of the notice period.
Any suspension by one of the Parties of its obligations during this period of notice may result in the termination of the Agreement under the conditions set out in the following paragraph.
10.2. This Agreement may be terminated in the event of a breach by one of the Parties of its contractual obligations, without prejudice to any damages that may be claimed by the other Party, 15 days after formal notice to remedy the breach has been served and has remained unsuccessful.
In the event that termination is pronounced against the Customer for serious or repeated breaches of its obligations, Alwan Color Expertise reserves the right to immediately suspend access to the Customer's Personal Account.
10.3 In the event of the occurrence of a case of force majeure as defined by French law and jurisprudence, making the performance of one or more of the essential obligations of the Agreement impossible for a period of more than thirty (30) days, the Agreement may be terminated by operation of law 7 days after the other Party has been informed by registered letter with acknowledgement of receipt.
10.4. Termination, regardless of the cause, has the effect of terminating the Customer's access to their Personal Account and will result in the definitive deletion of this Account and any data saved on it from the date on which the termination takes effect.
The Customer must therefore, before the termination takes effect, back up the data recorded on his personal Account on his own terminal; any deletion will be final and will not incur the liability of Alwan Color Expertise.

11. Miscellaneous

11.1. The contracts and pecuniary rights attached to the Agreement may be assigned or transferred at any time by Alwan Color Expertise without the Customer's prior consent.
Conversely, the Customer may not assign or transfer all or part of its rights to a third party without the prior agreement of Alwan Color Expertise.
11.2. If any of the provisions of these GTCSU were to be declared null and void, this would not affect the other provisions, which would remain in force between the Parties.
Alwan Color Expertise and the User undertake to enter into negotiations in order to agree on replacement provisions that are as close as possible to the intention of the provision(s) in question.
11.3. These GTCSU do not create any agency, partnership, joint venture, or employment relationship and neither Party shall be entitled to bind the other Party in any respect whatsoever.

12. Personal Data

Alwan Color Expertise is, within the meaning of EU Regulation 2016/679 (known as the "GDPR"), responsible for processing personal data under the conditions described below and undertakes to comply with its provisions and those of French Law No. 78-17 of 6 January 1978 known as the "Data Protection Act".
12.1. Personal data is processed in order to manage Orders and Subscriptions (delivery, payment, management of access to the Personal Account, etc.) and, more generally, for the proper performance of the Agreement governed by these GTCSU.
12.2. Alwan Color Expertise collects, within the limits of what is strictly necessary for the performance of the obligations arising from these GTCSU, information which may concern natural persons, members of the Customer, legal entity, namely: NAME, FIRST NAME, INTERLOCUTOR QUALITY OF THE CUSTOMER, MAIL AND E-MAIL ADDRESS, TELEPHONE, PASSWORD, ORDER HISTORY AND SUBSCRIPTION AND TRANSACTION REFERENCE. This information is essential to the performance of the contract, without which it cannot be fulfilled.
12.3. The same data may be used for commercial promotions and passed on to our commercial partners, provided that the Customer/User has consented to this.
12.4. The data collected is kept for a period of 5 years from the effective date of the last Subscription cancellation.
12.5. Only Alwan Color Expertise will receive this data: Alwan Color Expertise; its service providers responsible for fulfilling all or part of its obligations, such as manufacturers or printers, in addition to governmental, administrative or judicial authorities, in accordance with the obligations placed on Alwan Color Expertise in this respect or to assert the defence of its rights.
12.6. The data processed is stored within the EU and is not transferred outside this area.
12.7. In accordance with the GDPR, individuals have, with regard to personal data concerning them: a right of access to the data collected; a right to rectification of inaccurate personal data; a right to limitation of processing under the conditions provided for in Section 3 of Chapter III of the GDPR; a right to erasure under the conditions provided for in Section 3 of Chapter III of the GDPR; a right to portability; the right to object to processing under the conditions set out in section 4 of chapter III of the GDPR; a right not to be the subject of automated processing under the conditions set out in section 4 of chapter III of the GDPR; the right to lodge a complaint with the national supervisory authority, the CNIL.

13. Cookies

When the Site is consulted, information relating to the User's browsing on the Site may be recorded in "cookie" files installed on the User's computer or mobile terminal, subject to the User's choices, which may be modified at any time.
Cookies, which are documents generated by the site's server, may be automatically deposited on the User's terminal and enable the main functions of the Platform to be used, as well as enabling visitor statistics and browsing analysis to be compiled.
Any settings made by the User concerning the use of cookies may affect their browsing on the Internet and their conditions of access to certain Services requiring the use of cookies. It is therefore possible to deactivate cookies, but this may nevertheless disrupt the normal operation of the site.
Alwan Color Expertise uses the following types of cookies on its Site:

  • Functional cookies: such as session and connection cookies to collect session and connection information;
  • Anonymous analytical cookies: to obtain information about visits to its Site, such as the number of visitors, the most popular pages and subjects. This enables Alwan Color Expertise to tailor its communication and information to the needs of its visitors. It cannot know who visits its Site or from which personal device the visit was made.
  • Non-anonymous analytical cookies: to obtain information about visits to its Site, such as the number of visitors and the most popular pages and subjects, for the same purposes as anonymous analytical cookies.

14. Election of domicile

The Parties elect domicile at the address of their respective registered offices. Any change by one of the Parties of its registered office must be notified to the other.

15. Applicable law and jurisdiction

These General Terms and Conditions are governed by French law and any disputes relating to them will be referred to the Commercial Court of Lyon, even in the event of multiple defendants.
